By accessing or using the SMILEO platform and website (the "Service") operated by Salient Digital, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

SMILEO is a software platform designed for cosmetic dental professionals. The Service may include AI-powered smile previews, patient workflow automation, virtual consultation tools, and related features. Features may change over time at our discretion.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these terms. If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these terms.

4. Account Registration

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload content that infringes on intellectual property rights
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malicious code or harmful content
  • Resell, sublicense, or redistribute the Service without permission

6. User Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a limited, non-exclusive, royalty-free license to use, process, and store that content solely for the purpose of providing and improving the Service. We do not claim ownership of your content.

7. AI-Generated Content

The Service may generate AI-powered smile previews and other content. AI-generated outputs are provided for visualization and informational purposes only. They do not constitute medical advice, diagnosis, or a guarantee of treatment outcomes. You are solely responsible for clinical decisions made in connection with any AI-generated content.

8. Payment & Billing

If you subscribe to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as otherwise stated in our refund policy. We reserve the right to change pricing with reasonable notice.

9. Intellectual Property

The Service, including its design, features, code, and branding, is the property of Salient Digital, LLC and is protected by copyright, trademark, and other intellectual property laws. Nothing in these terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by law, Salient Digital, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Salient Digital, LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Service or violation of these terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Delaware.

We reserve the right to modify these terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the effective date. Your continued use of the Service after changes constitutes acceptance of the revised terms.
